D. Charitable contributions to Banner shall not be considered payments for the purpose of Sections III.B.7 or 8 of this policy, but may be considered by the Board of Directors in making its determination under Section III.A. E. If a director is otherwise determined to be independent under this policy, the director does not lose that status by virtue of his/her service on the Banner Health Board of Directors or the governing board of any Banner subsidiary. IV. Procedure/Interventions: A. Each independent member of the Banner Health Board of Directors and any Banner subsidiary shall promptly report to the Audit Committee of the Banner Health Board of Directors any change of facts or circumstances which would cause such director to cease to be independent or which might reasonably cause the continued independence of the director to be uncertain.
