D. Charitable contributions to Banner shall not be considered payments for the purpose of Sections III.B.7 or 8 of this policy, but may be considered by the Board of Directors in making its determination under Section III.A. E. If a director is otherwise determined to be independent under this policy, the director does not lose that status by virtue of his/her service on the Banner Health Board of Directors or the governing board of any Banner subsidiary.
