Review of Secondary/Additional Professional Activities by BUCS. 1. The review by BUCS of a proposed Secondary/Additional Professional Activity to be provided to BUCS, another Medical Group or Banner will be initiated by sending written request to the email box designed by Chief Executive Officer of BUCS or by such other mechanism as Chief Executive Officer of BUCS may identify from time to time. 2. The Chief Executive Officer of BUCS, or his/her designee, will review the proposed Secondary/Additional Professional Activity and, in connection with such review, will consider the following factors: a. Whether the requested Secondary/Additional Professional Activity is already a part of the Employed Practitioner's Primary Activities.

Whether the requested Secondary/Additional Professional Activity is consistent with Banner's Covered Professional Activity philosophy, as outlined in Article III, Section B.1. Whether the Employed Practitioner will receive Secondary/Additional Compensation for the proposed Secondary/Additional Professional Activity, and, if so, the manner in which the Employed Practitioner will receive the Secondary/Additional Compensation.

The Chief Executive Officer of BUCS, or his/her designee, will confirm with the Physician Compensation Program Director, or his/her designee, that the total compensation to be received by the Employed Practitioner, including any Secondary/Additional Compensation, is commercially reasonable and consistent with fair market value. 4. Following a final decision by the Chief Executive Officer of BUCS, or his/her designee, the Chief Executive Officer of BUCS, or his/her designee, will notify the appropriate operational contact within BUCS in writing as to whether the requested Secondary/Additional Professional Activity has been approved or denied, and, if approved, any conditions that may have been placed upon such approval. 5. If the requested Secondary/Additional Professional Activity is approved, the appropriate operational contact will initiate a request for a written amendment to the Employed Practitioner's Employment Agreement in accordance with the then current process identified by the Legal Department, which request will include a copy of the original written request and written evidence of the approval of the Chief Executive Officer of BUCS, or his/her designee. 6. If the approved Secondary/Additional Professional Activity is to be provided to B—UMG or to Banner on behalf of a Banner critical access hospital, the appropriate operational contact also will initiate a request for an Intra-Entity Agreement/Special Provision between BUCS and B—UMG or between BUCS and Banner in accordance with the then-current process identified by the Legal Department, pursuant to which BUCS will provide the services of the Employed Practitioner to B—UMG or Banner in connection with the approved Secondary/Additional Professional Activity. 7. An Employed Practitioner may not begin to provide any Secondary/Additional Professional Activity to BUCS, another Medical Group or to Banner until (a) the proposed Secondary/Additional Professional Activity has been approved by the Chief Executive Officer of BUCS, and (b) the written amendment to the Employed Practitioner's Employment Agreement has been fully executed by both the Employed Practitioner and by BUCS.
